Terms of Service

These Terms of Service ("Terms") set out the conditions under which ExWorks (the "Service"), operated by the ExWorks operator ("we" or "the Company"), may be used. By registering for or using the Service, you agree to be bound by these Terms.

Registration is complete when we approve your application submitted through the procedure we specify.

We may decline a registration application in any of the following cases. We are not obligated to disclose our reasons.

• False information was provided during registration
• The applicant has previously violated these Terms
• The applicant is a minor without the consent of a legal guardian
• We determine the applicant is associated with antisocial forces
• We otherwise determine the registration to be inappropriate

You are responsible for managing your email address and password. You must not transfer, lend, or share your login credentials with any third party.

Any action taken using valid login credentials will be deemed to have been carried out by the registered user.

You must not engage in any of the following:

• Any act that violates laws or public order and morals
• Any act related to criminal activity
• Any act that infringes the intellectual property rights, portrait rights, privacy, reputation, or other rights of the Company, other users, or third parties
• Any act that destroys or interferes with servers or networks of the Company, other users, or third parties
• Falsifying trading history or analytical data, or registering false information
• Unauthorized access or attempts thereof
• Impersonating other users
• Directly or indirectly providing benefits to antisocial forces
• Any other act that the Company deems inappropriate

We may suspend or interrupt all or part of the Service without prior notice in any of the following cases:

• When performing system maintenance or updates
• When provision of the Service becomes difficult due to force majeure (e.g., natural disasters, power outages)
• When we otherwise determine suspension is necessary

We accept no liability for any damage suffered as a result of such suspension or interruption.

1. Ownership of User Data

All trading history data imported by users into the Service ("Trading Data") remains owned by the user. We will not sell Trading Data to third parties without your prior consent.

2. License to Use Data for Service Operations

By using the Service, you grant the Company a non-exclusive, royalty-free license to use your Trading Data for the following purposes:

• Providing, maintaining, improving, and developing the Service
• Delivering AI analysis features (market scans, coaching, etc.)
• Improving the Service and publishing statistical information, using data that has been anonymized and aggregated so that no individual can be identified

3. Anonymized Data

We may use Trading Data in anonymized, aggregated form to improve the Service or for research and statistical purposes. No information that identifies a specific user will be included.

4. Data Deletion on Account Closure

When you delete your account, we will delete your Trading Data within 30 days. You may also request deletion of your Trading Data at any time by contacting legal@exworks.io.

5. Company Intellectual Property

All intellectual property rights in the Service belong to the Company or to rights holders who have licensed their use to us. You may not reproduce, adapt, redistribute, or otherwise use any materials related to the Service without our prior written consent.

We make no express or implied warranty that the Service is free from defects of any kind.

Except in cases of our willful misconduct or gross negligence, we accept no liability for any damage arising from use of the Service. Note that if the agreement between us constitutes a consumer contract under Japan's Consumer Contract Act, this disclaimer does not apply in full.

The Service does not constitute investment advice or financial brokerage services. For details on the risks of FX trading and the limitations of our AI features, please refer to our separate "Risk Disclosure". All trading decisions are made at your own risk.

We may, without prior notice, restrict your access to the Service or cancel your registration in any of the following cases:

• You have violated any provision of these Terms
• False information was provided during registration
• We otherwise determine that continued use is inappropriate

We accept no liability for damage resulting from actions taken under this Article.

We may amend these Terms with prior notice to users. Amendments take effect when posted on our website or within the Service. Continued use after amendments constitutes acceptance of the updated Terms.

These Terms shall be governed by the laws of Japan. Any disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

This document is an English reference translation of the Japanese original. In the event of any inconsistency, the Japanese version shall prevail.
